Terms of Service

1. The Services

EvidofOS provides intelligence infrastructure and workflows for nonprofit evidence, funding readiness, opportunity discovery, applications, funder relationships, content, approvals, and outcomes. Features may be preview, beta, optional, or unavailable depending on configuration. A separate order form or written agreement, if any, controls where it conflicts with these Terms.

2. Eligibility and accounts

• You must be at least 18 and legally able to enter these Terms.
• Account information must be accurate and kept current.
• You are responsible for authorized users, workspace permissions, and account activity.
• Keep credentials confidential and notify [email protected] promptly of suspected unauthorized access.
• You may not share an individual account in a way that defeats access controls.

3. Your content and responsibilities

You retain ownership of information, files, prompts, and other material you submit (“Your Content”). You grant Evidof a non-exclusive, worldwide license to host, copy, process, transmit, display, and create technical derivatives of Your Content only as needed to provide, secure, support, and improve the Services and to follow your instructions.

You are responsible for the accuracy, legality, permissions, notices, consents, and rights required for Your Content, including personal information about beneficiaries, donors, staff, volunteers, applicants, and partners. Do not submit information that you are not authorized to use or disclose.

4. AI-assisted features

AI features may draft, summarize, classify, search, or recommend using the context you select. AI output may be inaccurate, incomplete, biased, or similar to output produced for others. You must review and approve output before relying on, publishing, or submitting it. The Services do not provide legal, accounting, tax, investment, or professional compliance advice. AI output does not guarantee eligibility, funding, an award, or any outcome.

5. Funding and public-source information

Opportunity, funder, award, IRS, and other public or third-party information may be delayed, incomplete, changed, or withdrawn by its source. Scores, matches, confidence labels, and recommendations are decision support, not promises. You must verify deadlines, requirements, source terms, and submission instructions with the authoritative source.

6. Integrations

If you connect a third-party service, you authorize Evidof to exchange information and take the actions you request through that integration. Third-party services are governed by their own terms, privacy policies, permissions, rate limits, and availability. You are responsible for maintaining the necessary accounts and permissions. Evidof is not responsible for a third party’s service or independent acts.

7. Acceptable use

You may not use the Services to:

• violate law, regulation, contract, intellectual-property rights, or privacy rights;
• misrepresent evidence, fabricate outcomes, impersonate others, or facilitate fraud;
• upload malware, probe without authorization, disrupt service, or bypass safeguards;
• access another organization’s data or use credentials without permission;
• scrape, crawl, or collect data contrary to source terms or Evidof controls;
• send unlawful spam or publish content without required consent; or
• reverse engineer or resell the Services except where law or a written agreement permits.

8. Evidof technology

Evidof and its licensors own the Services, software, designs, documentation, models, workflows, and related intellectual property, excluding Your Content and third-party material. Subject to these Terms, Evidof grants you a limited, revocable, non-transferable right to use the Services for your organization’s internal purposes. If you provide feedback, Evidof may use it without restriction or compensation.

9. Fees

Fees, usage limits, payment terms, taxes, and renewal terms for paid Services will be stated in an applicable order form or checkout flow. Unless that agreement says otherwise, fees are non-refundable except where required by law. Preview or no-cost access may be changed or discontinued with reasonable notice where practicable.

10. Availability and changes

We work to provide reliable Services but do not guarantee uninterrupted or error-free operation. We may maintain, secure, modify, add, or remove features. We will use reasonable efforts to avoid materially reducing paid functionality during a current committed term, subject to security, law, third-party dependencies, and emergencies.

11. Suspension and termination

You may stop using the Services at any time. Evidof may restrict or suspend access to protect the Services or others, address nonpayment, investigate suspected misuse, comply with law, or enforce these Terms. We may terminate access for material breach after notice and a reasonable opportunity to cure when appropriate. Before closing a workspace, export information you are required to retain. Provisions that by their nature should survive termination will survive.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Evidof disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Evidof does not warrant that information, AI output, matches, integrations, or third-party data will be accurate, current, complete, or suitable for your use.

13. Limitation of liability

To the fullest extent permitted by law, Evidof will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, funding, or opportunities. Evidof’s total liability arising from the Services will not exceed the amount paid to Evidof for the Services during the twelve months before the event giving rise to the claim, or US $100 if no amount was paid. These limits do not apply where liability cannot legally be limited.

14. Indemnity

To the extent permitted by law, your organization will defend and indemnify Evidof from third-party claims arising from Your Content, your unlawful or unauthorized use of the Services, your integrations, or your material breach of these Terms. Evidof will provide reasonable notice and cooperation and will not settle a covered claim in a way that admits your liability without consent.

15. Disputes and general terms

Before filing a formal claim, contact [email protected] so the parties can try to resolve it informally. The governing law and venue in an applicable order form control. Otherwise, the laws of the State of Texas, USA govern these Terms without regard to conflict-of-laws principles, and the parties consent to the exclusive jurisdiction of state and federal courts with jurisdiction in Texas. Neither party may assign these Terms without the other’s consent except in connection with a merger, reorganization, or sale of substantially all relevant assets. If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. These Terms and any applicable written agreement are the entire agreement about the Services.

16. Changes and contact

We may update these Terms as the Services or legal requirements change. We will revise the effective date and provide additional notice when required.
